Terms of Service

 

 

We will never submit your email address or other personal information to trading partners. Never.

 

1. Preamble

1.1 EHBO provides a service called Wydif that enables the user to request other users to provide a service in exchange for a reward.

1.2 Via a website accessible at http://www.wydif.com, EHBO provides the interface that allows wydif service users to :

  • publish a request for service
  • respond to a request for service
  • indicate that they have provided a service
  • indicate that a service has been rendered to them
  • indicate that they have received the reward for the service provided
  • start an automatic dispute resolution procedure, if necessary

1.3 EHBO only intervenes in the initial phase of the relationship created between the user providing the service and the user receiving the service, in order to introduce them to each other on the Wydif website.

1.4 EHBO merely provides the tools to facilitate this initial introduction, by setting up a system for the prioritisation of the service requests, applying search functions to the service requests, providing a communication interface between the users and an automatic dispute resolution procedure.

 

2. Definitions

2.1 « Terms of service» or « Terms »: refers to the present general conditions of use for the Wydif service, each of its clauses, including the preamble in clause 1.

2.2 « Content »: refers to all information, data, software, texts, drawings, logos, graphics, images, photographs, illustrations, sounds, music, videos, hyperlinks and any other element that can be published online by a User and which can therefore be retrieved by the other Users ou by any other internet user.

2.3 « Wydif Credit» : refers to all the value units purchased by the User from EHBO which can be used for the Wydif service provided by EHBO, in accordance with the conditions set out in clause 7.

2.4 « Doer » : refers to the User who uses the Wydif service to respond to a Wydif.

2.5 « EHBO » : refers to the Company that provides the Wydif service and whose contact details are in the address www.wydif.com/legal.

2.6 « Registration » : refers to the creation by the User of his User Space, which he needs to be able to use the Wydif service.

2.7 « User Space » : refers to the part of the website reserved for the User.

2.8 « Sender » : refers to the User who uses the Wydif service to create and post a Wydif.

2.9 « Wydif Service » : refers to the service provided by EHBO and which consists of publishing the Wydifs of a Sender and transmitting the answers of the Doer to the Sender as provided for in clause 7 below.

2.10 « Website » : refers to the www.wydif.com website through which EHBO provides the Wydif service.

2.11 « User» : refers to the natural person of over 14, who uses the Wydif service, either as a Doer, or as a Sender.

2.12 « Wydif » : refers to a request for service posted by the Sender, and associated with a reward offered by the Sender as compensation for the service rendered.

 

3. Acceptance and modification of the General Conditions of Use

3.1 Access to the Wydif service via the website and the use of the Wydif services are subject to the acceptance of the General Conditions of Use.

3.2 The Terms of service are accepted by the the User at the time of registration, as soon as he checks the box opposite the words : « I have read and accepted the terms of service», thus expressing his consent.

3.3 For the purposes of providing the Wydif service, EHBO reserves the right to modify the contents of the terms of service at any time, and shall notify the User of the changes made either by email or by any other appropriate means. The new terms of service shall be effective as from the date when the User was notified of them.

 

4. Purpose

4.1 The purpose of the terms of service is to define the conditions under which EHBO provides the User with the Wydif service, as described in clause 7 below.

 

5. Legal relationship between the Sender and the Doer

5.1 The terms of service do not constitute a services supply contract between the Sender and the Doer. Their object is not to define the terms and conditions of the services provided by a Doer for the benefit of a Sender.

5.2 The Doer and the Sender act towards each other as independent contracting parties that are free to define, by any means that suit them, the terms and conditions of the service provided by means of a Wydif, particularly in regard to the reward offered in exchange for the Wydif. The Wydif service only aims to connect the two parties initially, before they enter into a relationship.

 

6. Registration and deregistration of the Wydif service User

6.1 Registration as a Wydif service User is free of charge.

6.2 It is subject to the User providing a registration form containing the following information:

  • first name
  • name
  • email address
  • password chosen by the User in order to ensure secure access to his User Space
  • age
  • country of establishment

6.3 Pursuant to Decree N°2011-219 of 25 February, 2011 on the retention and disclosure of information identifying any person that has contributed to the creation of online content, EHBO shall retain the data listed above as well as the login name for the connection used by the User at the time of his registration, for a period of one year as from the termination of the terms of service or the deletion of the User Space.

6.4 Pursuant to the above-mentioned Decree, EHBO shall, each time content is created, modified or deleted, and for a period of one year following any one of the afore-mentioned operations, retain the following data: login name, identifier assigned to the content by the system, types of protocol used to connect to the service and to transfer content, nature of the operation, date and time of the operation, identifier used by the User who performed the transaction.

6.5 The User guarantees the accuracy of the information supplied to EHBO at the time of his registration. EHBO reserves the right to suspend or terminatea User Space, immediately and without prior notice or compensation, if it appears that the information provided was false, incomplete or misleading.

6.6 The User is solely responsible for the use and preservation of the login name and password which give him access to his User Space. The User is personally responsible for the risks associated with its disclosure or misuse, and under no circumstances may EHBO be held liable for the fraudulent or improper use of the Wydif service resulting from the voluntary or involuntary disclosure to anyone of the User's login name and/or password.

6.7 The User may also register by using the Facebook Connect feature. In order to do this, the User must first create an account on the service accessible at www.facebook.com. In such a case, the corresponding login name and password must be entered on the Facebook account of the User prior to his registration.

6.8 The User's attention is drawn to the fact that if he used the Facebook Connect feature, EHBO will have direct access to certain informatin stored by the User on his Facebook account.

6.9 As soon as the registration procedure is completed, the User has access to his User Space and can use the Wydif service.

6.10 Deregistration from the Wydif service is free of charge and possible at any time. However, the User should note that:

  • Cancellation of the Wydif service registration implies that all the current Wydifs initiated either as a Sender, or as a Doer, have been processed
  • The User loses the benefit of all the Wydif Credits that have not yet been used on the day of the deregistration (see clause 7.12 below).

6.11 If there is no activity on the Wydif service website for an uninterrupted period of two years, EHBO reserves the right to delete the User Space of the User in question, after having given him prior notice of such intention.

 

7. Acquisition and use of Wydif Credits

7.1 In order to make use of the Wydif service, the User has to purchase Wydif Credits from EHBO.

7.2 Wydif Credits are needed to pay EHBO for providing the Wydif service, under the conditions stipulated in claue 10 below.

7.3 Wydif Credits can be purchased from EHBO, on their website, by paying the tax-inclusive price shown in the fee schedule at the following web address: www.wydif.com/paiements

7.4 The rates charged by EHBO for the Wydif service are shown in the fee schedule accessible at www.wydif.com/wydif-credits. These rates are expressed as Wydif Credits and are valid up until the date indicated on the fee schedule.

7.5 When purchasing Wydifs Credits, the User is expressly invited to note the expiry date of the rates indicated in the fee schedule.

7.6 On the date specified in the fee schedule, EHBO publishes a new fee schedule online, which indicates the new expiry date.

7.7 The Wydif Credits acquired prior to the posting of the new fee schedule on the website, remain valid and fully usable by the User.

7.8 However, the User is requested to note that under the new fee schedule, a greater number of Wydif Credits might be required in order to obtain the provision of a specific service from EHBO.

7.9 As the Wydif Credits may be used as soon as they are purchased by the User, in accordance with Section L.121-20-2 of the Consumer code, the User may not avail himself of the right of withdrawal provided for in Section L.121-20 of the said code.

7.10 The User may also receive Wydif Credits from EHBO as part of its promotional campaign, particularly at the time of registration.

7.11 The User may at any time, go to his User Space to check his Wydif Credit balance.

7.12 Wydif Credits are non-refundable, even under circumstances such as the suspension or deletion of the User's Profile.

 

8. Description of the Wydif service

 

8.1 Creation and publication of a Wydif

8.1.1 A Wydif is created using the Sender's User Space.

8.1.2 the Sender is requested to :

  • fill in the fields related to the object and other features of the Wydif
  • fill in the fields related to the reward offered for the Wydif
  • add a function or a feature to the Wydif according to the number of Wydif Credits defined in the fee schedule at www.wydif.com/wydif-credits

8.1.3 Before posting the Wydif, it is the Sender's responsiblity to check the accuracy of the information provided.

8.1.4 The Sender is requested to note that all the information entered at the time of the creation of the Wydif will be accessible to the Users he has defined as recipients of the Wydif. The User also retains control over the information contained in his User Space that he wishes to make available to third parties.

8.1.5 the publication of the Wydif is effective after the Sender clicks on the « CREATE » button.The Sender may not change the Wydif once it has been posted. On the other hand, he does retain the option to cancel the Wydif under the conditions provided for in clause 8.2 below.

8.1.6 A Wydif may be accessed by the Users who were defined by the Sender up until the expiry of a period called the « Time Line ». Even after the expiry of the Time Line, a Wydif remains visible to the Doer or Doers who participated in it. The Time Line is the period during which the Sender would like the Wydif to be performed. When the Wydif is created, the Sender may determine the starting point of the Time Line from the day when the Wydif is published up until one month after that day. The default duration of the Time Line is 14 days. The Sender may opt for a longer Time Line when he creates the Wydif.

8.1.7 Users are requested to note that a Wydif does not constitute a firm offer to contract, but merely an invitation to start negociations. In particular, the Sender may specify, when creating a Wydif, that he wishes to reserve the right to approve the Doer before the Wydif is actually performed. The Sender may also decide to cancel a published Wydif under the conditions provided for in clause8.2 below, and thus terminate the negociations.

 

8.2 Cancellation of a Wydif by the Sender

8.2.1 After the publication of a Wydif, the Sender retains the option to cancel it.

8.2.2 The cancellation of a Wydif by the Sender may lower his trust rate, as defined in clause 8.5 below.

8.2.3 If he cancels the Wydif, the Sender shall not be refunded for any Wydif Credits used to create the Wydif.

 

8.3 Responding to a Wydif (« I want to do it »)

8.3.1 Users who receive a Wydif are free to respond to it or not.

8.3.2 The potential Doer expresses his wish to engage with the Sender for the provision of the service referred to in the Wydif by clicking on the button « I want to do it ». The consent of the Doer to enter into negociations with the Sender or to perform the service is always understood to be without prejudice to his right to withdraw, as provided for in clause 8.3.8.

8.3.3 When the Doer clicks the « I want to do it » button, the Sender is immediately notified of the Doer's offer to perform the Wydif.

8.3.4 The Sender and the Doer then make it their personal business to detail the terms governing the implementation of the Wydif and to finalise their agreement by communicating via the message box associated with each Wydif.

8.3.5 Thus, the fact that the Doer clicks on the « I want to do it » button does not constitute acceptance of a firm and final offer to contract.

8.3.6 The Sender has to approve the Doer before the Wydif can be performed, if the Sender chose such an option at the time the Wydif was created.

8.3.7 The Doer is invited to note that if he performs the Wydif before the terms of the said Wydif have been finally settled and agreed upon, and in particular before the Sender has accepted him, in the case where the Sender has reserved that option, the Doer may not obtain the reward offered by the Sender.

8.3.8 The Doer can indicate that he no longer wishes to perform Wydif by clicking on the « CONFIRM RESIGNATION » button. The Doer's decision to click the « CONFIRM RESIGNATION » button will cause a drop in the trust rate assigned to him, as defined in clause 8.5 hereunder. The trust level of the User will not be affected however, if the Sender has reserved the right to accept the Doer and the latter clicks on the « CONFIRM RESIGNATION » button before he has been accepted.

 

8.4 The reward

8.4.1 When the Doer has performed the Wydif in accordance with the terms agreed with the Sender, the Doer is requested to indicate this in his User Space by clicking on the « IT'S DONE » button that corresponds to the Wydif in question.

8.4.2 The Sender is immediately notified the Doer has indicated his performance of the Wydif.

8.4.3 As from the date of such notification, the Sender is requested to deliver the agreed reward to the Doer, within a time limit called the Reward Time, a default deadline set at 7 days as from the notification. Even after the creation of the Wydif, this time limit may be extended by the Sender to a period of 14 or 21 days.

8.4.4 The Doer is therefore expressly informed that the Reward Time may be extended by the Sender.

8.4.5 The Sender is reminded that unless he provides a reward once the Wydif has been performed by the Doer in accordance with the agreed terms, he could, under general laws and regulations, incur contractual or tortious liability .

8.4.6 On receiving the reward, the Doer must click on the « Reward received » button, in his User Space, to indicate that the reward has been received.

 

8.5 Trust rate of Users

8.5.1 At the time of registration, each User is assigned a trust rate of 50%.

8.5.2 The actions of the Sender or the Doer, will automatically either increase or decrease the trust rate assigned to them.

8.5.3 The trust rate of a User increases when :

  • As a Doer, he has performed a Wydif within the time limit and in accordance with the conditions established with the Sender
  • As a Sender, once the Wydif has been performed, he has delivered the reward before expiry of the Reward Time.

8.5.4 The trust rate of a User is lowered when:

  • As a Sender, he cancels a Wydif in the circumstances set forth in clause 8.2 above
  • As a Doer, he uses the « CONFIRM RESIGNATION » button, in the circumstances set forth in clause 8.3.8 above
  • Whether as a Doer or a Sender, he is the losing party in a dispute under the circumstances defined in clause 8.7 hereunder.

 

8.6 Rating attributed to a Doer after a Wydif

8.6.1 After each Wydif, the Sender is requested to assign an overall rating to the Doer and to write comments indicating his level of satisfaction in the Doer's performance of the Wydif.

8.6.2 These comments shall be written in compliance with the provisions of clause 11 hereunder.

8.6.3 Any attempt to manipulate the evaluation procedures, in order, for example to receive positive assessments on false pretenses, is strictly prohibited and EHBO is entitled in such a case to delete the assessment of the User and/or to suspend access to his User Space.

8.6.4 The following actions, for example, are prohibited :

  • Offering a high score or positive comments as a reward
  • Offering money in exchange for good ratings or positive comments or for the opportunity to access and use the User Space of another User
  • The association of several Users in order to artificially increase their rates

 

8.7 Resolution of Disputes

8.7.1 The Wydif service includes an automatic process that allows Users to exchange their comments and arguments in the case of disputes arising in connection with the performance of a Wydif, as provided for in the present clause.

8.7.2 The dispute resolution system may be applied in the following circumstances:

  • a « done-related» dispute: the Doer indicates that he has performed the Wydif and the Sender denies this statement
  • a « reward-related » dispute: the Sender indicates that he has given the reward to the Doer, who denies having received it.

8.7.3 In both these cases, the dispute resolution mechanism is a procedure whereby the ,Doer and the Sender are obligated to exchange their respective comments within predetermined time limits.

8.7.4 The dispute is settled in one of the following ways :

  • In the case of a done-related dispute, the Doer finally performs the Wydif to the satisfaction of the Sender before the termination of the dispute resolution procedure; The Doer's trust level is thereby increased
  • In the case of a done-related dispute, the Doer acknowledges, before the expiry of the Time Line, that he has not performed the Wydif ; he is then in a position to perform the Wydif before the expiry of the Time Line
  • In the case of a done-related dispute, the Doer acknowledges, after the expiry of the Time Line, that he has not performed the Wydif ; his trust level drops to the same extent as if he had used the CONFIRM RESIGNATION button (See § 8.3.8).
  • In the case of a reward-related dispute, the Sender finally delivers the reward to the Doer before the termination of the dispute resolution procedure ; the Sender's trust level is increased
  • Either one of the Users does not send one of the messages required by the dispute resolution process within the set deadlines. The defaulting User becomes the losing party in the dispute
  • The Users involved in the dispute fail to reach an agreement by the end of the dispute resolution process. Depending on the trust level of each User and the events that occurred during the Wydif, the Wydif service automatically decides which User is the winning party in the dispute.

8.7.5 The only consequence of being a loser in the dispute, is the decrease in the trust level of the losing party.

8.7.6 The dispute resolution process is a mechanism specific to the Wydif service that in no way precludes the exercise of remedies by the User who feels that his rights have been infringed as a result of the Wydif.

 

9. Modification or discontinuance of the Wydif service

9.1 EHBO may, as of right and without notice, suspend or terminate, at any time, all or part of the Wydif service.

9.2 In such a case, EHBO, notwithstanding the provisions of clause7.12 above, shall refund the Wydif Credits still held by the User on the day of the suspension or the discontinuance of the Wydif service.

9.3 The refunding of the Wydif Credits is the only compensation paid by EHBO to the User in the event of the discontinuance or suspension of the Wydif service.

 

10. Remuneration paid to EHBO for the Wydif service

10.1 Payment due by the Sender

10.1.1 As payment for the creation and publication of a Wydif, the Sender shall give EHBO the number of Wydif Credits determined by the Wydif features, as set out in the fee schedule accessible at www.wydif.com/wydif-credits.

10.1.2 The balance of the Sender's Wydif Credits account is debited when he clicks on the « CREATE » button.

10.1.3 If the balance of the Sender's Wydif Credits is insufficient, it will not be possible to create the Wydif. In such a case, the Sender is invited to replenish his Wydif Credits account.

10.2 Payment due by the Doer

10.2.1 When the Doer responds to a Wydif posted by a Sender who is not his personal friend and the reward offered by the Sender is a sum of money, the Doer shall pay EHBO a number of Wydif Credits proportional to the value of the reward offered by the Sender.

10.2.2 The number of Wydif Credits due by the Doer is determined according to the fee schedule accessible at www.wydif.com/wydif-credits.

10.2.3 The Doer's Wydif Credits are debited from his account when he confirms receipt of a reward.

 

11. Obligations of the User

11.1 The User is generally precluded from the following actions , including but not limited to:

  • Uploading, transmitting or making available, through any person and by any means any illegal, insulting, harmful, threatening, abusive, libellous, obscene, or hateful Content, or Content that constitutes harassment, advocacy of crimes against humanity, incitement to racial hatred, child pornography, violence (in particular violence perpetrated against women), is invasive of privacy or prejudicial to human dignity or otherwise objectionable and regarded as a punishable offense both under French Law and under the Law of the State of which the User is a national or a resident
  • Prejudicially affecting other Users in any way whatsoever
  • Attempting to mislead other Users by usurping the name or pseudonym of other Users or of any other person
  • Uploading, transmitting or making available, through any person and by any means any Content that the User is not allowed to disseminate under laws and regulations or under a contract (particularly Confidential Information or information that intrudes upon the privacy of a third pary)
  • Uploading, transmitting or making available, through any person and by any means any Content that infringes any patent, trademark, trade secret, copyright, intellectual property right or other proprietary rights of any party
  • Uploading, transmitting or making available, through any person and by any means any promotional messages or advertisements
  • Uploading, transmitting or making available, through any person and by any means any Content containing computer viruses, Trojans or any other code or software designed to hinder, distort, interrupt, destroy or limit the nomal operation and functionality of any software, computer, server, electronic communication tool, especially those belonging to EHBO.

11.2 The Sender is generally precluded from the following actions, including but not limited to: Requesting the provision of a service or offering any reward that is illegal, obscene, subject to a state monopoly or special regulations, that could prejudicially affect any third party or that would be otherwise objectionable or punishable both under French Law or the law of the State of which the Sender is a national or a resident.

11.3 Should the provisions of the present clause be infringed, EHBO reserves the right to immediately suspend or terminate a User Space without notice or compensation.

11.4 The User and EHBO agree that the computer records of the login name, password and User Space of the User, that are automatically generated by EHBO constitute good evidence between them, unless proved otherwise.

 

12. Responsibility of EHBO and warranty exclusions

12.1 In view of the risks inherent to the use of the internet, the User's access to and use of the Wydif service are his sole and entire responsiblity. EHBO does not guarantee either the accessibility of the Wydif service, or that it will continue to function properly on a permanent basis.

12.2 It should be recalled, that EHBO does not intervene in the contractual relationship between the Sender and the Doer and that the Wydif service only provides the necessary tools to facilitate the interaction between the Sender and the Doer.

12.3 Consequently, EHBO does not provide any guarantee as to the identity of the Sender, or the Doer, the formalisation of the agreement between the Doer and the Sender, the quality of the service provided by the Doer or the appropriateness of the reward provided by the Sender.

12.4 The User expressly acknowledges that the Content he uploads, transmits or makes available through any person and by any means, is his sole and entire responsibility.

12.5 EHBO does not seek to exert any control over the Contents transmitted via the Wydif service and consequently does not guarantee the licitness or the quality of such Contents.

12.6 EHBO cannot under any circumstances be held liable for the Content, and particularly for the illicit nature of the Content, or for any loss or damage subsequent to the use of any Content, arising inter alia, from any error or omission in the said Content.

12.7 EHBO hereby also warns the Users of the risks they incur when they continue to play online games in breach of the law.

12.8 Whatever the nature, grounds or modalities of legal proceedings initiated by the User against EHBO, EHBO's liability for direct damage suffered by the User shall be limited to the amount of the remuneration paid by the User to EHBO under the provisions of clause 10 above, during the 12 months preceding the events which gave rise to the said liability.

12.9 Under no circumstances shall EHBO be held responsible for indirect damage, such as moral damage or commercial loss, loss of profits, data or content, or for any legal action taken against the User by third parties.

 

13. Intellectual property rights

13.1 Unless otherwise specified, the website with all its' component elements including, but not limited to the texts, images, photographs, illustrations, documents, software, databases and all other elements made available online by EHBO, is the exclusive property of EHBO.

13.2 Consequently, in accordance with the provsions of Intellectual property Code, the statutory and regulatory provisions of all countries and the international conventions, any reproduction, representation or alteration, in whole or in part, of the Site or of any of the elements comprising it, is strictly prohibited.

13.3 In this regard, it is strictly forbidden, inter alia, for any User to adapt, arrange, modify, correct, associate, translate into all or any languages, place on the market either free of charge or for a fee, to market, by whatever means and on whatever medium, all or part of the website or of any of the elements comprising it, particularly those published online by EHBO.

13.4 The website is a database generated by EHBO. As such EHBO enjoys the protection conferred by the provisions of Sections L.341-1 and following of the Intellectual property Code. Consequently, any extraction or retrieval of all or part of this database is strictly prohibited.

13.5 All trade marks, domain names, logos, product or service names, and other signs related to EHBO on the website, and in particular the signs « Wydif » and « Would You Do It For » are the property of EHBO. Any use, reproduction, representation or dissemination of these elements without the express authorisation of their owner is strictly prohibited.

13.6 For the purposes of providin the Wydif services, the User grants EHBO a non-exclusive right to reproduce, translate and represent worldwide, the content that he creates or posts online, free of charge, by all means, in any form, for the entire period that EHBO is operating the site and for at least the maximum statutory period of copyright protection. Consequently, EHBO may, inter alia, display, reproduce, transmit, complete or combine the Contents created or published by the User with other contents, and also, as regards the management and use of the website, display, save and process data related to this Content.

 

14. Hyperlinks

14.1 EHBO is not responsible for hyperlinks to third party websites, particularly as regards the access to, collection or processing of their contents, or of personal data therein contained, or for non compliance or incompatiblity with the provisions of the terms of service.

14.2 EHBO is not responsible for the hyperlinks present on third party websites which link up to the website.

 

15. Personal data Protection

15.1 In accordance with the provisions of Section 32 of Law no. 78-17 on Information Technology and Civil Liberties [Loi Informatique et Libertés] dated 6 January 1978, the User is informed that EHBO will automatically process personal data pertaining to the User, particularly when he connects to the website, uses the Wydif service or completes the forms that are available on the website. The fields marked with an asterisk are mandatory fields that must be filled in so that the User's request can be processed. Should the User fail to fill in any of these mandatory fields when completing an online form, EHBO will not be able to process the User's request.

15.2 The purpose of the automated processing of personal data is to manage access to the website and the provision of the Wydif service to the User. EHBO is the recipient of the User's personal data. In order to supply the Wydif service, EHBO may have to transmit this data to its' IT providers, conserving your privacy.

15.3 EHBO will never submit your email address or other personal information to its' trading partners. 

15.4 In accordance with Section 38 of the Law dated 6 January 1978, the User has a right of access, modification, rectification and deletion of his personal data. He may also oppose the data processing on legitimate grounds.

15.5 In order to exercise these rights, the User may send a letter the following address: 9 rue de Fleurus, 75006 Paris, France, or an email to : contact@wydif.com. The User is informed that if he should exercise his right of deletion or opposition, all or part of the website or of the Wydif service might become inaccessible to him.

15.6 The User is informed that « cookies » are placed on the hard drive of his computer when he connects to the website. Cookies are small computer files that store:

  • Information captured on the website during your visit that you will not need to enter again during future visits to the website.

15.7 The default length of time this information will be kept on your computer is one year.

15.8 You are advised that you can oppose the registration of "cookies" by configuring your computer according to the following methods :

For Microsoft Internet Explorer :

  • select the « Tools » menu, then « Internet Options »
  • Click on the « Confidentiality » tab
  • Using your mouse, select the desired level of confidentiality
